Overview

License Grant

Subject to your continued compliance with this License, KeenThemes Inc grants you a worldwide, non-exclusive, non-transferable, perpetual license to use the Licensed Materials within the limits of the license tier you purchased. All rights that are not expressly granted here remain with KeenThemes Inc. This is a license to use the Licensed Materials, not a sale of any intellectual property in them.

License Tiers

Metronic is offered in four license tiers. Your tier determines the scope of use. Current prices for every tier are listed on our pricing page.

What Your License Allows

Within the limits of your license tier, you may:

• Create one (or up to 5 for Plus tiers) end product(s) for yourself or for one client.
• Transfer the end product to your client for any fee. This license is then transferred to your client.
• Make any number of copies of the end product, as long as it is distributed for free (Regular) or sold (Extended).
• Modify or manipulate the Licensed Materials. Combine them with other works and create derivative works.
• Use the Licensed Materials in personal and commercial work.
• Use the Licensed Materials when building paid work for clients as part of your professional services.

What Your License Prohibits

You may not:

• Resell, redistribute, sublicense, or otherwise make the Licensed Materials available to anyone else, whether unchanged or modified.
• Redistribute the Licensed Materials as stock, in a tool or template, or with source files. This applies whether the Licensed Materials are on their own or bundled with other items, even if you modify them.
• Use the Licensed Materials in any application allowing an end user to customise a product to their specific needs (e.g. “on demand”, “made to order”, or “build it yourself” applications) unless you purchase a separate license per final product.
• Extract and use a single component of the Licensed Materials on a stand-alone basis. You may delete unwanted components, but you cannot use them separately.
• Permit an end user of your end product to extract the Licensed Materials and use them separately from the end product.
• Use the Licensed Materials in a logo, trademark, or service mark.
• Use the Licensed Materials to build a UI kit, component library, template, theme, or design-tool product that competes with Metronic.
• Share your account, license key, or downloaded files with people who are not covered by your license tier.
• Publish the Licensed Materials in a public or open-source repository, or anywhere the original source code can be downloaded by the public.
• Use the Licensed Materials, in whole or in part, to train, fine-tune, or build any machine-learning model, dataset, or generative tool.
• Distribute the Licensed Materials through a marketplace, plugin store, no-code or website-builder platform, or any other channel where third parties could obtain the source.

Open-Source Components

Some components of the Licensed Materials may be sourced from third parties under different license terms (e.g. an open source or creative commons license). If so, the component will be identified in the download files. The other license applies to that component instead of this license. This license applies to the rest of the Licensed Materials.

Metronic is built on top of open-source primitives that carry their own permissive licenses (for example, MIT). Those upstream licenses continue to apply to those parts and are not changed by this License. Everything we author and deliver on top of them, including our components, templates, and composed source code, is owned by KeenThemes Inc and is governed by the terms on this page.

Lawful Use

You can only use the Licensed Materials for lawful purposes. If an Item contains an image of a person, even if the Item is model-released you can’t use it in a way that creates a fake identity, implies personal endorsement of a product by the person, or in a way that is defamatory, obscene or demeaning, or in connection with sensitive subjects.

Attribution

Attribution is welcome but not required. If you would like to credit Metronic, you may add a link in your project’s footer or documentation to keenthemes.com/metronic.

Updates & Support

• Every license includes lifetime access to the version you purchased and to future updates of that product.
• Updates are free for the lifetime of the product.
• Support is provided through our Support Center for all license tiers.
• We may change the scope of future updates, but we will not remove features you already have.

Refund Policy

We offer a 30-day refund guarantee on all licenses. If you are not satisfied within 30 days of purchase, contact us and we will process your refund. Refund payout takes several days depending on your payment method.

Warranty Disclaimer

• The Licensed Materials are provided “as is” and “as available,” without warranty of any kind, whether express or implied.
• We do not warrant that the Licensed Materials will meet every specific requirement or expectation you may have.
• We do not warrant that operation will be uninterrupted or completely error-free.
• We do make commercially reasonable efforts to keep the code high-quality, accessible, and broadly compatible.

Limitation of Liability

To the maximum extent permitted by applicable law:

• KeenThemes Inc is not liable for any indirect, incidental, special, or consequential damages arising from your use of the Licensed Materials.
• Our total aggregate liability is limited to the amount you paid for your license.

Indemnification

You agree to indemnify and hold harmless KeenThemes Inc, including its officers, employees, and contractors, from any claim, demand, loss, or expense (including reasonable legal fees) that arises out of your use of the Licensed Materials, the end products you build with them, or your breach of this License.

Account Suspension & Termination

This license is perpetual for as long as you honor its terms. KeenThemes Inc reserves the right to protect the Licensed Materials and the wider community of customers.

• This license can be terminated if you breach it. If that happens, you must stop making copies of or distributing the end product until you remove the Licensed Materials from it.
• We may suspend or terminate your account, license key, or access to the Licensed Materials, with or without prior notice, if we reasonably believe you have breached this License or engaged in fraud, abuse, or misuse.
• Grounds for suspension or termination include, but are not limited to, redistributing the Licensed Materials, sharing your key beyond your license tier, and attempting to bypass our paywall or license checks.
• Starting a chargeback or payment dispute instead of contacting us first may lead to immediate suspension.
• No refund is due on a termination that results from a breach of this License.
• On termination you must stop using the Licensed Materials in any new work and delete the source files you hold, though end products you have already deployed in good faith may keep running.

Ownership

KeenThemes Inc retains ownership of the Licensed Materials but grants you the license on these terms. This license is between KeenThemes Inc and you. All rights not expressly granted here are reserved.

Changes to This License

We may update this License from time to time. Changes apply going forward from the date they are posted and do not retroactively reduce the rights granted for a license you have already purchased. Your continued use of the Licensed Materials after an update means you accept the revised terms.

General

• If any part of this License is held to be unenforceable, the remaining terms stay in full effect.
• Our not enforcing a term on one occasion is not a waiver of our right to enforce it later.
• This License is the entire agreement between you and KeenThemes Inc regarding the Licensed Materials.
